The investigation concerns whether the Constellation Board of Directors breached their fiduciary duties to Constellation stockholders by failing to adequately shop the Company before entering into this transaction and whether Exelon Corporation is underpaying for Constellation shares, thus unlawfully harming Constellation stockholders.
