The definitive acquisition agreement, which was announced on February 15, 2011, involves a total transaction reportedly valued at approximately $9.5 billion under which NYSE Euronext shareholders will receive a fixed ratio of 0.4700 shares of a new holding company for each share of NYSE Euronext/NYX common stock they hold. Under the merger plan, the new holding company will also launch a tender offer in which shareholders of Deutsche Boerse AG will be able to receive an equal number of shares of the new holding company.

The investigation relates to the fairness of the proposed transaction to NYSE Euronext shareholders, possible breaches of fiduciary duty and other violations of state law by the Board of Directors of NYSE Euronext for approving this transaction, and whether NYSE Euronexta™s Board of Directors acted in the shareholdersa™ best interests. Under closing, and assuming that all Deutsche Boerse AG shares are tendered in the exchange offer, the former NYSE Euronext shareholders will only own 40% of the new entity.
