Smith announces that it is investigating potential claims against the board of directors of Central Vermont Public Service (aCVPSa or the aCompanya) (NYSE:CV) related to the Companya™s agreement to be acquired by Fortis, Inc. The proposed transaction is valued at approximately $700 million, including assumed debt.

Under the terms of the definitive agreement entered into by the parties, CVPS shareholders will receive $35.10 in cash for each share they own of the Companya™s common stock. The proposed transaction is expected to be completed in approximately six to 12 months. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by CVPSa™ board of directors.
