BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of FPIC Insurance Group, Inc. (aFPICa or the aCompanya) (NASDAQ:FPIC) related to the Companya™s agreement to be acquired by The Doctors Company. The proposed transaction is valued at approximately $362 million.

Under the terms of the definitive agreement entered into by the parties, FPIC shareholders will receive $42.00 in cash for each share they own of the Companya™s common stock. The transaction is expected to be completed by the fourth quarter of 2011. The proposed transaction was unanimously approved by the Companya™s board of directors. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by FPICa™s board of directors.
