PHH Corporation Announces Upsizing and Pricing of Senior Notes
MT. LAUREL, N.J.--([ BUSINESS WIRE ])--PHH Corporation (NYSE:PHH) (aPHHa or the aCompanya) today announced that it increased the size of its previously announced offering of senior notes upon pricing. PHH priced $350 million aggregate principal amount of 9.25% senior notes due 2016 (the anotesa) at an issue price of 100%. The Company intends to use the net proceeds of the issuance of the notes to repay borrowings under its Amended and Restated Competitive Advance and Revolving Credit Agreement, and to the extent any proceeds remain, for general corporate purposes. Subject to customary closing conditions, this offering is expected to close on August 11, 2010.
The notes have not been registered under the Securities Act of 1933, as amended (the aSecurities Acta), or any applicable state securities laws, and will be offered only to qualified institutional buyers in the United States in reliance on Rule 144A under the Securities Act, and outside the United States in compliance with Regulation S under the Securities Act. Unless so registered, the notes may not be offered or sold in the United States except pursuant to an exemption from the registration requirements of the Securities Act and applicable state securities laws.
