Sherbrook SBK Sport Corporation is pleased to announce an agreement with the NHLPA (National Hockey League Players' Association). Under this agreement Sherbrook SBK Sports Corp. will have the rights to use its full-sized souvenir composite hockey sticks decorated with original and photographic artwork. Presenting over 700 NHL players with their image and/or other personality rights.
SBK Hockey is present in North America and in 26 European countries also including Korea, China and Japan. In conformity with the present agreement SBK Hockey Sports Corp. as paid the National Hockey League Player Association royalties and licensing rights.
This agreement includes players like Alexander Ovechkin, Ryan Miller, Sidney Crosby, Jarome Iginla, Roberto Luongo and more.
Shares-for-debt
The company is also pleased to announce a proposed shares-for-debt to issue 700,000 common shares (the "Common Shares") at a proposed price of $0.1125 per share (the "Offering"). The issuance of the Common Shares under the Offering is being completed pursuant to an agreement made by the Corporation with a creditor of SBK and is conditional on the TSX Venture Exchange ("TSXV") approval (including the TSXV's approval of the proposed price of $0.1125 and the other terms of the Offering). No bonus, finder's fee or commission is being paid in connection with this transaction. All securities to be issued pursuant to this arrangement will be subject to a four (4) month hold period. SBK will use this arrangement to reduce long term debts by $75,000.
Precision on nominations
The company reiterates the nominations of Mr. Louis Garneau and Mr. Guy Lafleur as directors to the Board of Directors, however the nominations are subject to regulatory authorities acceptance.
Correction:
SBK also wishes to correct a clerical error in the English version of its press release, dated May 17, 2010, announcing the grant of options. SBK actually issued 2,100,000 options not the 1,200,000 incorrectly reported.
