On May 24, 2011, the companies announced the definitive merger agreement under which FPIC would be acquired by The Doctors Company, in a transaction valued at approximately $362 million. Under the terms of the agreement, FPIC stockholders will receive $42.00 in cash for each share of FPIC common stock held.
