Colony Financial, Inc. Announces Pricing of Public Offering of Common Stock

LOS ANGELES--([ BUSINESS WIRE ])--Colony Financial, Inc. (the "Company") (NYSE: CLNY) today announced the pricing of an underwritten public offering of 14,000,000shares of common stock pursuant to a registration statement filed with the Securities and Exchange Commission at a public offering price of $18.50 per share. The Company is offering 13,250,000shares of common stock and selling stockholders are offering750,000 shares. The offering is expected to close on April 6, 2011 and is subject to customary closing conditions. The underwriters have been granted a 30-day option by the Company to purchase up to an additional 2,100,000 shares at the public offering price, less the underwriting discounts and commissions. The offering will generate gross proceeds to the Company of approximately $245.1 million, or $284.0 million if the underwriters exercise their option to purchase additional shares in full.

The Company intends to use the proceeds from the offering to acquire the Companya™s target assets and for working capital and general corporate purposes.

BofA Merrill Lynch, Goldman, Sachs & Co., Morgan Stanley and UBS Investment Bank are acting as joint book-running managers for the offering. RBC Capital Markets, FBR Capital Markets, JMP Securities and Keefe, Bruyette & Woods are acting as co-managers.
