STI Holdings, Inc. Announces the Acquisition of Link Bit Consulting Co., Ltd.

SALT LAKE CITY--([ ])--STI Holdings, Inc. (Pink Sheets: STIG), a Nevada Corporation, and Link Bit Consulting Co., Ltd., a Japanese Corporation (Link Bit), have completed a definite Agreement and Plan of Reorganization whereby STI has acquired 100% of the issued and outstanding Link Bit shares for 25,000,000 common STIG shares. The acquisition was completed on May 12, 2012, and STIG will maintain Link Bit as a wholly owned subsidiary.

In accordance with the terms of the Merger, all current officers and directors of the company resigned, and Mr. Shuya Watanabe was appointed as Chairman and Chief Executive Officer. Mr. Shuya Watanabe has been in the entertainment industry for the past 20 years. Other new officers and directors appointed are:

Mr. Yoichi Onishi, Sec./Trea., CFO, Director
Mr. Motonori Okai, Director
Mr. Hideaki Takahashi, Director
Mr. Akira Tanabe, Director

Located in Tokyo, Japan, Link Bit is engaged in the business of transmitting and providing horse racing information via various media, as well as a website.

Link Bit publishes Umajin (a horse racing magazine), which is in its 14th year of production. Link Bit has produced several books and overseen the production and management of TV shows and events in the horse racing and sports industry.

The Company plans on changing its name to Grand Perfecta Inc. in the near future.
