Torch River Announces Flow-Through Private Placement
CALGARY, ALBERTA--(Marketwire - March 27, 2012) - Torch River Resources Ltd. (TSX VENTURE:TCR) ("Torch" or the "Corporation") is pleased to announce a non-brokered private placement of up to 1,000,000 shares (the "Shares") at a price of $0.06 per Share for gross proceeds of approximately $60,000 (the "Offering"). The Offering is for up to 1,000,000 shares (the "Flow-through Shares") comprising one (1) flow-through common share in the capital of the Corporation issued. Torch anticipates that Insiders of the Corporation will subscribe for over 20% of the placement.
The common shares will have a four month hold period from the closing date of the Offering.
The proceeds of the private placement will be used to fund the work program on the mineral properties held by Torch. The private placement is subject to receipt of all necessary regulatory approvals.
