NEW YORK--([ BUSINESS WIRE ])--Levi & Korsinsky is investigating the Board of Directors of Fort Orange Financial Corporation (aFort Orangea or the aCompanya) (OTC: FOFC) for possible breaches of fiduciary duty and other violations of state law in connection with the sale of the Company to Chemung Financial Corporation (aChemung Financiala) (OTC:CHMG). Under the terms of the transaction, Fort Orange stockholders may chose one of three options for compensation. In exchange for each share of Fort Orange stock they own, shareholders may receive: $7.50 cash, Chemung Financial stock at an exchange ratio of 0.3571, or a cash and stock consideration comprised of cash for 25% of their shares and stock for 75% of their Fort Orange shares.
