Headwaters Incorporated Announces Closing of 7-5/8% Senior Secured Notes Due 2019
SOUTH JORDAN, Utah--([ BUSINESS WIRE ])--Headwaters Incorporated (aHeadwatersa) (NYSE: HW) today announced the closing of its offering of $400.0 million aggregate principal amount of 7-5/8% Senior Secured Notes due 2019 (the aNotesa). The Notes are senior secured obligations of Headwaters and are guaranteed by certain of Headwatersa™ existing and future domestic subsidiaries.
Net proceeds from the offering were approximately $393.3 million (after deducting the initial purchasersa™ commissions and estimated transaction fees and expenses). Headwaters used the net proceeds to fund the early settlement of previously announced tender offer for any and all of its $328.3 million aggregate principal amount of 11-3/8% Senior Secured Notes due 2014 outstanding (the a11-3/8% Notesa) and to pay related tender premiums and transaction fees and expenses.
The offering of the Notes was made in the United States to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933 (the aSecurities Acta), and outside the United States in compliance with Regulation S. The Notes have not been registered under the Securities Act or any state securities laws and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
