NEW YORK, July 23, 2012 /PRNewswire/ -- Harwood Feffer LLP ([ www.hfesq.com ]) is investigating potential claims against the board of directors of GenOn Energy ("GenOn" or the "Company") (NYSE: [ GEN ]) concerning the proposed acquisition of the Company by NRG Energy, Inc. ("NRG") in a transaction valued at approximately $1.7 billion.

On July 23, 2012, it was announced that GenOn and NRG have entered into a definitive agreement pursuant to which NRG will acquire GenOn. Under the agreement, GenOn shareholders will receive 0.1216 shares of NRG per GenOn share held, a value of approximately $2.20 per GenOn share. At least one analyst has set a target price for GenOn stock of $4.50 per share.
