NOT FOR DISTRIBUTION TO UNITED STATES NEWSWIRE SERVICES OR FOR DISSEMINATION IN THE UNITED STATES
Duncan Park Holdings Corporation (TSX VENTURE:DPH)(OTCQX:DCNPF) announced that it has completed its previously announced private placement of $240,000 of common shares at a price of $0.08 per share.
The company issued an aggregate of 3,000,000 "flow-through" and "non-flow-through" shares pursuant to the non-brokered private placement. Proceeds will be used to finance continuing exploration and winter drilling on the Company's Red Lake properties. The first two 400 m drill holes will be carried out on the Dome property at the intersection of the Madsen-Goldcorp (NE) Trend and the Chukumi River WNW Trend. This drilling will result in the Company completing the earn-in expenditure requirements on the Dome property. The drilling rig will then move to the McManus property near the Chukumi River to test for the extension of the previously identified mineralization zone on the property.
Insiders of the Company subscribed for 45% of the private placement. The financing was approved by the non-interested directors of the Company. A material change report in respect of the private placement will be filed on SEDAR in accordance with applicable securities law. The report could not be filed at least 21 days prior to closing as material information concerning the private placement was not then known by the Company.
The Company paid a cash finder's fee of $4,000 to Jones, Gable & Company Limited with respect to certain subscriptions. The securities issued pursuant to the private placement are subject to a hold period expiring June 22, 2012.
