AIG Announces U.S. Department of the Treasury Pricing of Offering to Sell Shares of AIG Common Stock

NEW YORK--([ ])--American International Group, Inc. (NYSE: AIG) today announced that the U.S. Department of the Treasury (Treasury) has priced an offering of 206,896,552 shares of its AIG common stock at $29.00 per share.

In connection with Treasuryas offering and as permitted by the previously announced authorization by the AIG Board of Directors, AIG has agreed to purchase 103,448,276 shares of AIG common stock in the offering at the public offering price for an aggregate purchase amount of approximately $3.0 billion.
