BENSALEM, Pa.--([ BUSINESS WIRE ])--Law Offices of Howard G. Smith announces that it is investigating potential claims against the board of directors of Mercer Insurance Group, Inc. (aMercera or the aCompanya) (NASDAQ:MIGP) related to the Companya™s agreement to be acquired by United Fire & Casualty Company. The proposed all-cash transaction is valued at approximately $191 million.

Under the terms of the merger agreement entered into by the parties, Mercer shareholders will receive $28.25 in cash for each share they own of the Companya™s common stock. The board of directors of Mercer unanimously approved the merger. The proposed transaction is expected to close at the end of the first quarter of 2011. The investigation concerns possible breaches of fiduciary duty and other violations of law related to approval of the proposed transaction by Mercera™s board of directors.
