Doral Financial Corporation: Doral Financial Announces Convertible Preferred Exchange Offer

SAN JUAN, PR--(Marketwire - October 20, 2009) - Doral Financial Corporation (NYSE: [ DRL ]) ("Doral" or the "Company"), the holding company of Doral Bank, today filed with the Securities and Exchange Commission (SEC) an offer to acquire up to $100 million of liquidation preference of its outstanding 4.750% Cumulative Perpetual Convertible Preferred Stock ("Convertible Preferred Stock") in exchange for shares of Doral common stock.

Upon the terms and subject to the conditions of the exchange offer, each share of Convertible Preferred Stock tendered and accepted will be exchanged for 20.59 shares of Doral common stock ("Exchange Ratio"). The Exchange Ratio is based on $87.50 per share of Convertible Preferred Stock (35% of $250.00 liquidation preference per share) and a common stock price of $4.25 per share.

The Company will issue no more than 8,235,294 shares of Doral common stock in the exchange offer. Depending on the number of shares of Convertible Preferred Stock tendered in the exchange offer and the Exchange Ratio determined as described above, the Company may have to prorate tendered shares of Convertible Preferred Stock to remain within this limit.
