NEW YORK, Dec. 10, 2012 /PRNewswire/ -- Harwood Feffer LLP ([ www.hfesq.com ]) is investigating potential claims against the board of directors of Epoch Holding Corp. ("Epoch" or the "Company") (NASDAQ: [ EPHC ]) concerning the proposed acquisition of the Company by TD Bank Group ("TD Bank") in a transaction valued at approximately $668 million.

On December 10, 2012, Epoch announced that it had entered into a definitive agreement pursuant to which the Company will be acquired by TD Bank.  Under the terms of the agreement, Epoch shareholders will receive $28.00 in cash for each Epoch share owned.
