012 Smile Sale to Partner Received All Regulatory Approvals

TEL AVIV, Israel--([ BUSINESS WIRE ])--Ampal-American Israel Corporation (NASDAQ: AMPL)(TASE: AMPL) announced today that the approval of the Israeli Ministry of Communication ("MOC Approval") has been obtained in connection with the previously announced definitive share purchase agreement to sell all of the outstanding shares of 012 Smile Telecom Ltd., a wholly owned subsidiary of Merhav-Ampal Energy Ltd., an indirect wholly owned subsidiary of Ampal, to Partner Communications Company Ltd. (NASDAQ: PTNR). The MOC Approval, together with the previously received approval of the Israeli Antitrust Commissioner, constitutes all regulatory approvals required in order to complete the transaction.
