American Safety Insurance Holdings Ltd. Files Form S-3 Universal Shelf Registration Statement

HAMILTON, Bermuda--([ BUSINESS WIRE ])--American Safety Insurance Holdings, Ltd. (NYSE:ASI) today announced that the Company has filed a universal shelf registration statement on Form S-3 with the Securities and Exchange Commission (aSECa).

Upon being declared effective by the SEC, the shelf registration will allow the Company to offer and sell from time to time up to $100 million in the aggregate of its securities, which may consist of common shares, preferred shares, senior debt securities, subordinated debt securities, warrants, or units. Each time that the Company sells securities under this shelf registration, a prospectus supplement containing specific information about the terms of the securities being offered will be provided.

The Company is not offering securities pursuant to this shelf registration currently. The filing of the shelf registration is to provide the Company with the flexibility to take advantage of financing opportunities as needed or deemed desirable due to advantageous market conditions, acquisition opportunities that may arise in the future, or other conditions.

The shelf registration has not yet become effective and the Company may not offer or sell any securities under this shelf registration until the SEC has declared the registration statement effective, nor may any sale be effected without a definitive prospectus and a prospectus supplement setting forth the specific terms and conditions of any specific securities offering.
