NEW YORK--([ BUSINESS WIRE ])--Tripp Levy PLLC announces an investigation into the proposed acquisition of AmeriCredit Corp. (NYSE: ACF). On July 22, 2010, General Motors (NYSE: GM) announced that it is proposing to acquire all of the outstanding shares of common stock of AmeriCredit for $24.50 per share in cash. In addition, AmeriCredita™s two largest shareholders, who own approx. 50% of all outstanding shares of common stock of AmeriCredit, and who has members on the Board of Directors of AmeriCredit, have voted in favor of the transaction.

However, AmeriCredit may not have adequately shopped itself around before entering into this transaction and, pursuant to this proposed transaction, GM may be underpaying for AmeriCredit, thus unlawfully harming AmeriCredit shareholders. AmeriCredita™s management team are expected to remain with the Company following completion of the transaction as well as vote in favor of the acquisition. Indeed, analysts have projected that AmeriCredita™s going forward value is at least $26 per share. Further, following completion of the transaction, GM said it is considering going public, which will further enhance AmeriCredita™s directors and management, including its two largest shareholders.

The investigation concerns, among other things, whether the consideration to be paid to AmeriCredit shareholders is grossly unfair, inadequate, and substantially below the fair or inherent value of AmeriCredit. The investigation further concerns whether the directors of AmeriCredit may have breached their fiduciary duties by not acting in AmeriCredit shareholders' best interests in connection with the sale process of AmeriCredit.
