WILMINGTON, Del.--([ BUSINESS WIRE ])--[ Rigrodsky & Long, P.A. ] announces that it is investigating potential claims against the board of directors of Nationwide Health Properties, Inc. Under the proposed agreement, Nationwide shareholders will receive a fixed exchange ratio of 0.7866 Ventas shares for each share of Nationwide common stock they own. Upon closing of the transaction, Ventas shareholders are expected to own approximately 65% and Nationwide shareholders are expected to own approximately 35% of the combined company.

The investigation concerns whether Nationwidea™s board of directors failed to adequately shop the Company and obtain the best price possible for Nationwidea™s shareholders before entering into the agreement with Ventas.
